Terms of Submission

Please read these Terms of Submission before submitting your information and music entry for the Nationwide Talent Search (the “Talent Search”). By submitting an entry to the Talent Search, you agree to be bound by these Terms and represent that you satisfy all eligibility requirements.

ELIGIBILITY
NO PURCHASE NECESSARY TO ENTER. The Talent Search is open ONLY to legal residents of the United States who are at least 21 years of age at the time of entry. EACH MEMBER of any band submitting an entry must qualify at the time of entry. Employees of GMR Marketing LLC or its subsidiaries, affiliated companies, and clients (the foregoing entities collectively referred to as “the Sponsor”), and their sales representatives, distributors, advertising and promotion agencies, and members of each of their immediate families and those living in the same household as each of the above are not eligible. All entries must be original compositions by the entrant(s), and entrant(s) may not be currently signed to one of the four major record label groups (Universal Music Group, Warner Music Group, SONY/BMG, EMI Music) or an independent label financed or distributed by one if the four major label groups or signed to a third-party music publisher. Entrants must complete all submission information fields and submit all required materials to qualify for the Talent Search.

By entering the Talent Search, entrant represents and warrants that he or she owns all rights in his or her entry and that the entry does not infringe or otherwise violate any rights of any third party. All entries must be original compositions by the entrant(s), and entrant(s) must not have been previously signed to a record label or third-party publisher. By submitting an entry which includes an image, name, or likeness of any person, entrant agrees that he or she is the person pictured or identified in the entry and desires to submit it, or that he or she has received written permission for submission from any person pictured or named and that any such person agreed to these Terms of Submission. The Sponsor reserves the right, at its sole discretion, to disqualify any entry which does not comply with these Terms of Submission or to disqualify any individual or band who tampers with the submission process. The entrants shall retain all copyrights to the submitted materials, granting only the licenses described herein.

SELECTION OF FINALISTS
Entries will be evaluated by the Sponsor. From all eligible entries received, the Sponsor will select bands as finalists in the Talent Search. At that time, a separate agreement will be offered to each finalist governing the rules and terms of the relationship between the finalists and the Sponsor.

USE OF INFORMATION AND SUBMITTED MATERIALS
The Sponsor collects entrant and band information and music and lyric information for the purpose of evaluation and selection of finalists. All information will be used only for purposes of evaluation, selection of finalists, and to contact entrants with questions related to submissions and inform those entrants selected as finalists. Sponsor may, at its election, upload any material submitted by artist to a private, non-public, password protected test HTML page for internal content testing purposes only. All information and materials submitted will be used for such purposes only by the Sponsor. By submitting an entry to the Talent Search, entrant grants the Sponsor the right to use any and all information submitted for these purposes, including the right to copy and distribute such information for evaluation purposes. Information and materials submitted will not be posted on the Sponsor’s websites or otherwise shared with any other third parties. Any use of material submitted by those entrants selected as finalists shall be governed by a separate agreement executed between each finalist and the Sponsor.

TALENT SEARCH PERIOD
All submissions for the Talent Search must be received by 11:59:59 pm ET on April 30th, 2008.

LIMITATIONS ON LIABILITY
The Sponsor is not responsible for any entry or other communication submitted online which is not received due to any computer, online, telephone or technical malfunctions, delays or human errors that occur in the processing, transmitting or receiving entries, or for inaccurate transcription of entry information, or for entries that are lost or delayed by computer transmissions. If, for any reason, the Talent Search cannot be conducted as planned, including but not limited to infection by computer viruses, bugs, tempering, unauthorized intervention, fraud, technical failures, or any other causes, the Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Talent Search.

GENERAL RELEASE
By entering the Talent Search, each entrant releases the Sponsor from any liability whatsoever for any claims, costs, injuries, losses or damages of any kind arising out of or in connection with the Talent Search.

CHOICE OF LAW AND VENUE
By entering the Talent Search, entrants agree that all issues and questions concerning the construction, validity, interpretation and enforceability of these Terms of Submission, entrants’ rights and obligations, or the rights and obligations of the Sponsor and its affiliates in connection with the Talent Search, shall be governed by, and construed in accordance with, the law of the State of Wisconsin, without giving effect to any choice of law or conflict of law rules (whether the State of Wisconsin or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Wisconsin. By entering the Talent Search, entrants consent to the exclusive jurisdiction and venue of the federal, state and local courts located in Milwaukee, Wisconsin, for the resolution of any disputes relating to the foregoing.

MISCELLANEOUS
Entrants agree to be bound by these Terms of Submission by the decisions of the Sponsor, which are final and binding in all respects. The Sponsor reserves the right to change these rules or cancel the Talent Search at any time, in its sole discretion.
